Having a federally protected trade name ensures that franchisees have trademark protection to use your trade name and logo. The status of the franchisor’s trademark(s) is also required to be disclosed in Item 13 of the FDD. A federally protected trademark also enables the franchisor to enforce brand standards and regulate misuse by other businesses. It is important to note that franchisors are not required to have a federally protected trade name in order to begin granting franchises. In such an event, it simply requires that the FDD include an additional disclosure in Item 13 about its status on the federal level. With the status of the trade name solidified, it's time to begin developing the FDD.
The FDD is an all-encompassing document that contains the 23-item FDD, the Franchise Agreement and Area Development Agreement, and a number of exhibits and attachments. The Franchise Operations and Policies Manuals (“Manual”)
Unfortunately, many franchise development companies approach this step by providing their clients with templates, which ultimately requires the client to develop the majority of the Manual. Though this might seem like a straightforward approach, the majority of our clients admit they know very little about drafting a Manual.
